1. Parties & Scope
These Terms & Conditions (“Terms”) govern the relationship between Qira AI (“Qira,” “we,” “us”) and the customer (“you,” “your”), which may be a dental practice, dental service organization (DSO), or authorized representative.
Qira is a cloud-based platform for patient communication, appointment reminders, clinical note generation, SMS automation, task management, and integration with practice management systems (PMS).
2. Account Use & Responsibilities
As a customer, you are responsible for:
- Providing accurate and up-to-date information during onboarding and use.
- Keeping login credentials secure and notifying us promptly of any unauthorized access.
- Ensuring your use of Qira, including SMS messages and calls sent through the platform, complies with all applicable laws and patient consent requirements.
- Obtaining appropriate consent from patients before their information is processed through Qira.
3. Acceptable Use
You agree not to use Qira for any illegal activity, harassment, or distribution of prohibited content. Specifically, you may not use Qira to send content related to:
- Sex, pornography, or adult content
- Hate speech or discriminatory content
- Alcohol or tobacco promotions without proper age gating
- Firearms, weapons, or controlled substances
- Any content that violates carrier messaging policies (SHAFT guidelines)
4. Fees & Billing
Qira is provided on a subscription basis. Specific pricing, payment terms, and service levels are governed by your order form or separate service agreement. All fees are non-refundable unless otherwise stated in your agreement.
5. Text Messaging & Communications
Program Name: Qira-powered Patient Messaging Program
By providing a mobile phone number to Qira, you represent that you have authority to use that number and consent to receive text messages and calls related to appointment reminders, follow-up care, patient communication automation, account notifications, and other service-related messages.
Message frequency varies based on your usage of the service and patient activity.
Message and data rates may apply.
You (and your patients) can opt out of receiving text messages at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message. You will receive a final confirmation message.

Carriers are not liable for delayed or undelivered messages.
Use of phone numbers and message content is governed by our Privacy Policy.
6. Disclaimers & Limitation of Liability
Qira is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the service’s fitness for a particular purpose, availability, or accuracy.
To the maximum extent permitted by law, Qira shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you to Qira during the twelve (12) months preceding the claim.
7. Termination
Either party may terminate this agreement with thirty (30) days’ written notice. Qira may suspend or terminate access immediately if you breach these Terms. Upon termination, your access to the platform will cease and your data will be handled in accordance with our Privacy Policy.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the courts of California.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of Qira after changes constitutes acceptance of the revised Terms.
